Shanks said it received a final offer from Carlyle on Monday valuing the business at 476 million pounds ($713 million), lower than the 536 million, or 135 pence per share, which the private equity firm offered in December.

"Carlyle has failed to offer a price which in the view of the board properly reflects the value of the group," Shanks chairman Adrian Auer said, adding further talks would not be in the interests of shareholders.

At the time of the 135 pence approach, key shareholders told Reuters they were looking at an offer closer to 150 pence. Since then, Shanks has issued a profit warning, saying in February its full-year results would be hit by the impact of "exceptionally adverse" weather conditions.

Carlyle would not comment on reasons for lowering its offer.

Shanks shares were down 14.5 percent at 102.9 pence by 1230 GMT, above an earlier low of 95.9 pence.

"There will be some pondering today over what led Carlyle Group to make a final offer 15 pence per share below its initial indicative offer," said FinnCap analyst Charles Pick.

"This said, Shanks remains the only decent sized UK quoted waste management play and consolidation has been very much a feature of the sector so bid speculation could reoccur."

Analysts at JP Morgan said the announcement "will clearly disappoint investors" but noted the shares were already factoring in the risk of a lower bid or no bid at all.

Shanks said it had "engaged constructively with Carlyle and their advisers, who were granted extensive access both to information on the group and its key personnel across Europe."

Shanks said it remained committed to a strategy of focusing on its three growth areas of recycling, organic processing and British private finance initiatives.

"Whilst trading conditions for the waste industry across Europe remain challenging reflecting the weak macro-economic environment, the board is very confident in the group"s longer-term prospects," the company said.

Jason Smith, 23, bombarded Alexandra Scarlett with up to 30 threatening messages a day on her Facebook and MySpace accounts.

In a series of vicious rants, the musician vowed to slash the 20-year old student"s face, said he would rape her mother and aunt and also threatened to shoot her father.

He was given a 12-month suspended prison sentence in November and handed a lifetime restraining order banning him from contacting Miss Scarlett. A judge said he needed treatment for an "erotic mania" psychological disorder.

But within a week Smith again tracked her down on Facebook and MySpace and sent her messages bragging that he had "got away with it", Manchester Magistrates Court heard.

He was yesterday convicted of harassing Miss Scarlett and her mother Jennifer, and of breaching a restraining order. He will remain in custody until he is sentenced on March 17.

Gareth Brandon, prosecuting, said: "Jason Smith is not and never has been in a relationship with Alexandra Scarlett. They met in a bar and exchanged phone numbers and he has been harrassing the family ever since."

Miss Scarlett, 20, who is so scared of Smith she gave evidence from behind a screen, told the court: "When I reported the matter to police it was just relief and I thought it would be all over and I was not as scared anymore.

"I thought he would actually listen but he obviously doesn"t care, he is still just carrying on."

She added: "Within about a week or so of him being released and the restraining order I started getting messages again. I"d had messages for that long I knew the way he writes stuff and I knew that it was him."

Miss Scarlett, who had given Smith her phone number after meeting him at a Manchester nightclub in 2007, repeatedly shut down her online accounts and opened up new ones - but he always managed to track them down and hound her again.

She tried to block his Facebook page 40 times but he set up new ones and posted further terrifying messages, including threatening to kill her.

Among the many pseudonyms he used to contact her were Fernando Torres, the Liverpool footballer, Peter Robinson and Martin Shields.

In one message at 2.44am, giving the name Tom Smith, he told her he had appeared in court after breaching his curfew and that he had "got away" with community service.

Smith had told her that it was "real love" and that they were "meant to be together".

He then began contacting Miss Scarlett"s mother Jennifer, who told the court: "I knew it was Jason Smith because of the way he spells things and the things he says. He can"t spell at all."
